These Terms and Conditions ("Terms") govern participation in the WMP Eyewear Creator Program ("Program"), operated by WMP Eyewear ("WMP," "Company," "we," "us," or "our").

By applying to, participating in, or continuing participation in the Program, you agree to be bound by these Terms.

1. Eligibility

To participate in the Program, you must:

  • Be at least eighteen (18) years of age.
  • Have a valid social media account, website, or online presence.
  • Maintain a minimum of 1,000 followers or subscribers on at least one active public social media platform at the time of application and throughout your participation in the Program.
  • Provide accurate and complete information during the application process.
  • Comply with all applicable laws, regulations, platform policies, and these Terms.

WMP reserves the sole right to approve, deny, suspend, or terminate any application or participation in the Program at its discretion.

WMP also reserves the right to review follower counts, engagement rates, and content quality at any time. Accounts demonstrating inauthentic engagement, including purchased followers or bot activity, may be suspended or removed from the Program.

2. Creator Account & Affiliate Links

Approved Creators will receive access to WMP's affiliate platform through Aspire and will be provided with:

  • A unique affiliate tracking link.
  • Access to creator campaigns, activation opportunities, and Program communications.
  • From time to time, at WMP's sole discretion, a unique discount code issued for a defined promotional or activation window (for example, during a collection drop or tentpole retail moment). Discount codes are not a standard feature of the Program and may be issued selectively to Creators based on performance or campaign eligibility.

Creators may maintain only one (1) active Creator account unless expressly approved by WMP in writing. Creating multiple accounts, duplicate profiles, or attempting to circumvent Program rules may result in immediate removal from the Program and forfeiture of unpaid commissions.

Creators are responsible for maintaining the security of their Aspire account credentials, affiliate tracking links, and any WMP-issued discount codes. Any suspected unauthorized access or misuse of your tracking link or discount code must be reported to WMP promptly at wmpcreator@wmpeyewear.com.

3. Onboarding Product

Approved Creators receive one (1) complimentary product from a curated WMP catalog upon acceptance into the Program. The onboarding product is provided as a tool to support Creator participation in the Program and is not compensation for services.

Creator is solely responsible for any tax reporting obligations associated with the value of the onboarding product and any additional products, gifts, or seeding received through the Program.

WMP reserves the right to request return of the onboarding product, or to invoice its retail value, in cases of fraud, material misrepresentation, or termination for cause within thirty (30) days of receipt.

4. Commission Structure

Creators may earn commissions on qualifying purchases attributed to their affiliate tracking link, or to any WMP-issued discount code active at the time of the transaction, through Aspire.

Commission rates, attribution windows, bonus structures, and payment schedules are set by WMP and may be modified at any time. Current Program mechanics — including base commission rate, milestone and rolling bonus structure, and eligibility for activation-window incentives — are communicated through Aspire, the Creator Discord, and Program communications.

Attribution. Attribution is determined on a seven (7) day last-click basis through Aspire. Where a customer interacts with multiple Creators within the attribution window, credit is awarded to the most recent Creator click prior to purchase. Creator acknowledges that Aspire's tracking relies on third-party JavaScript postback technology and that qualifying transactions may take up to twenty-four (24) hours to reflect in the Aspire dashboard. Delays within this window are a normal function of the tracking system and are not grounds for dispute.

Commissions are calculated on the order subtotal as recorded by Aspire and exclude:

  • Taxes
  • Shipping charges
  • Returns
  • Refunds
  • Chargebacks
  • Fraudulent transactions
  • Gift card purchases

Discount code stacking. Where WMP issues a Creator a discount code (for example, during an activation window), that code may not be combined with other promotional codes, site-wide sales events, or third-party offers unless expressly permitted by WMP in writing. WMP reserves the right to void commissions on orders where unauthorized code combinations are detected.

WMP reserves the right to reverse commissions associated with refunded, canceled, fraudulent, or disputed orders.

All commission tracking and reporting shall be determined by Aspire's attribution system and WMP's internal reporting.

5. Payment Terms

Commission payments will be processed through Aspire or another payment provider designated by WMP.

Creators are responsible for:

  • Maintaining accurate payment information
  • Providing any required tax documentation
  • Paying any taxes arising from Program earnings

WMP is not responsible for delayed payments caused by incomplete account information or third-party payment providers.

Refund reversal window. Commissions on any order are subject to reversal for up to thirty (30) days from the transaction date if the underlying order is refunded, canceled, disputed, deemed fraudulent, or otherwise determined to be a Non-Qualifying Sale. Reversals may be deducted from current or future commission earnings.

Dispute window. Creator has thirty (30) days from the date of a monthly commission statement to dispute any commission amount in writing to wmpcreator@wmpeyewear.com. WMP will respond within ten (10) business days. Disputes submitted after the thirty (30) day window are waived.

Unclaimed commissions. Any earned commissions that remain unclaimed due to invalid or missing payment information for a period of one hundred eighty (180) days following the applicable payment cycle may be forfeited. WMP will make reasonable efforts to notify you at the email address on file in Aspire before any forfeiture.

6. FTC Disclosure Requirements

Creators must clearly disclose their relationship with WMP whenever promoting WMP products. Examples include:

  • #ad
  • #sponsored
  • #WMPPartner
  • Paid Partnership labels where available

Disclosures must be clear, conspicuous, and compliant with Federal Trade Commission (FTC) guidelines. Disclosures must appear at the beginning of any caption, before any "more" or "see more" truncation, and must be verbally stated in video content at the point where the product is first featured. Placing disclosures only in comments, bio sections, or at the end of long captions does not meet this requirement.

Failure to comply with disclosure requirements may result in immediate termination from the Program.

7. Creator Content License

Creators retain ownership of content they create.

However, by participating in the Program and submitting, tagging, mentioning, uploading, or otherwise providing content featuring WMP products, you grant WMP a worldwide, royalty-free, transferable, sublicensable license to:

  • Repost content

  • Use content in organic social media

  • Use content in paid advertising

  • Use content on websites, emails, SMS campaigns, and marketing materials

  • Modify, crop, resize, edit, or adapt content for marketing purposes

By participating in any designated UGC (user-generated content) campaign communicated via Aspire or a campaign brief, you grant WMP a license to use your submitted content across organic social media channels and digital platforms — including Meta, TikTok, and other social platforms — for a period of twelve (12) months from submission unless otherwise specified in the campaign brief. Participation in such a campaign constitutes acceptance of this license for that specific content.

This license remains effective unless otherwise agreed in writing.

8. Prohibited Activities

Creators may not:

  • Share affiliate tracking links or any WMP-issued discount codes on coupon websites, deal forums, rebate websites, browser extensions, or cashback sites.
  • Post affiliate tracking links on Reddit solely for promotional purposes.
  • Bid on WMP, WMP Eyewear, or related trademark terms through Google Ads, Bing Ads, Meta Ads, TikTok Ads, or other paid advertising platforms.
  • Purchase domain names, social handles, or accounts that include WMP trademarks.
  • Represent themselves as employees, agents, or official representatives of WMP.
  • Represent or imply that they hold an exclusive partnership, ambassadorship, or sponsorship arrangement with WMP unless such a relationship is separately confirmed in writing by WMP.
  • Make false, misleading, deceptive, or unsubstantiated claims regarding WMP products.
  • Engage in fraudulent transactions, self-referrals, or artificial commission generation. Use of a Creator's own tracking link or discount code for personal purchases does not earn commission and intentional self-referral is grounds for immediate termination.
  • Use copyrighted materials, music, images, or content without proper authorization.
  • Engage in harassment, discrimination, sharing of confidential Program information, doxxing, or conduct otherwise inconsistent with community guidelines within the WMP Creator Discord or any other official WMP community space.
  • Engage in conduct that is abusive, discriminatory, defamatory, hateful, obscene, illegal, or otherwise harmful to WMP's reputation.
  • Make negative, disparaging, or derogatory public statements about WMP, its products, employees, or business partners during the term of participation and for twelve (12) months following the end of participation in the Program.

Violation of these restrictions may result in immediate termination and forfeiture of unpaid commissions.

9. Brand Guidelines

Creators agree to represent WMP professionally and accurately.

Creators may not:

  • Alter logos without approval
  • Misrepresent product features
  • Make medical, health, or performance claims that are not approved by WMP
  • Suggest sponsorships or endorsements that do not exist

WMP-provided logos, product images, and brand assets must be used in their original, unaltered form unless WMP provides prior written approval of modifications. When WMP updates its brand guidelines, Creators agree to update any existing promotional materials to comply within thirty (30) days of notice.

WMP may provide additional creative guidelines through Aspire, email, campaign briefs, the WMP Creator Discord, or other communications.

10. AI-Generated Content

WMP is committed to authentic representation of its products, and expects the same from its Creators. To protect the trust of WMP's audience and the integrity of the Program, Creators must comply with the following requirements regarding artificial intelligence and synthetic media.

Creators may not:

  • Generate, publish, or distribute AI-generated, digitally fabricated, or synthetically altered images, video, or audio that misrepresents WMP products in any way — including product appearance, materials, construction, fit, coloring, lens quality or performance, packaging, or pricing.
  • Use AI-generated or synthetic media to fabricate reviews, testimonials, endorsements, unboxings, or personal experiences with WMP products. All Program content must reflect the Creator's genuine, first-hand experience with the product they are promoting.
  • Create deepfakes, synthetic likenesses, cloned voices, or AI-generated impersonations of WMP employees, founders, executives, or other individuals affiliated with the brand.
  • Use AI-generated voices, faces, or likenesses of other individuals in WMP promotional content without both proper disclosure and the express, documented consent of those individuals.
  • Make AI-generated or AI-assisted claims about product performance, materials, safety, health benefits, UV protection, polarization, durability, or comparisons to competitor products that have not been reviewed and approved by WMP in writing.
  • Publish AI-generated or AI-assisted Program content that omits required FTC disclosure regarding the commercial relationship with WMP, or, where applicable, the synthetic nature of the content itself.

Permitted uses. Creators may use AI tools for content ideation, caption drafting, editing assistance, background enhancement, or similar behind-the-scenes production tasks, provided that the final published content accurately represents WMP products and the Creator's genuine experience with them. Where AI-generated elements form a visible or substantive part of published Program content, Creators are strongly encouraged to disclose that use in addition to any required FTC disclosure.

Violations of this section may result in immediate termination from the Program, forfeiture of unpaid commissions, and content removal requests as described in Section 12 (Content Removal).

11. Program Communications

Creators are responsible for monitoring:

  • Aspire notifications
  • Program emails
  • Campaign briefs
  • The WMP Creator Discord community
  • Other Creator communications from WMP

Failure to review Program communications does not excuse noncompliance with Program requirements.

12. Content Removal

Upon termination or suspension from the Program for any reason, Creators agree to remove or update all content containing their affiliate tracking link or any active WMP-issued discount code within fourteen (14) days. WMP may also request removal of specific content at any time, and Creators agree to comply within seventy-two (72) hours of receiving such a request.

Failure to comply with content removal requests may be treated as a material breach of these Terms.

13. Independent Contractor Relationship

Creators are independent contractors.

Nothing in these Terms creates:

  • Employment
  • Partnership
  • Agency
  • Joint venture

Creators are solely responsible for their own taxes, insurance, licenses, and business expenses. Creators are not eligible for employee benefits offered by WMP.

14. Termination

WMP may suspend or terminate participation in the Program at any time, with or without notice. Reasons for termination may include:

  • Violation of these Terms
  • Fraudulent activity
  • Inappropriate conduct
  • FTC violations
  • Brand safety concerns
  • Inactivity
  • Misrepresentation

Inactivity. WMP may deactivate Creator accounts that show no attributed sales for six (6) consecutive months. WMP will make reasonable efforts to send a re-engagement notice prior to deactivation. Deactivated accounts may be reinstated at WMP's discretion, and where reinstated, lifetime conversion history and bonus eligibility are preserved.

Brand Safety Suspension. WMP reserves the right to immediately suspend a Creator's affiliate tracking link and any active discount code — without prior notice — if WMP determines, in its sole discretion, that a Creator's content or conduct poses a risk to WMP's brand reputation. Suspension does not automatically constitute termination. WMP will provide written notice of suspension within forty-eight (48) hours and may reinstate or formally terminate within fourteen (14) days.

Upon termination, any valid earned commissions accrued before termination will be paid according to Program policies unless forfeited due to violation of these Terms.

15. Limitation of Liability

To the fullest extent permitted by law, WMP shall not be liable for any indirect, incidental, consequential, special, punitive, or exemplary damages arising from participation in the Program.

WMP's total liability under these Terms shall not exceed the total commissions paid to the Creator during the six (6) months preceding the claim.

WMP shall not be liable for commission tracking errors, data loss, tracking delays, or platform outages attributable to Aspire or other third-party service providers used to operate the Program.

16. Indemnification

Creator agrees to defend, indemnify, and hold harmless WMP, its affiliates, officers, directors, employees, agents, successors, and assigns from any claims, damages, liabilities, costs, and expenses arising out of:

  • Creator's content
  • Creator's breach of these Terms
  • Creator's violation of applicable laws
  • Creator's infringement of third-party rights

17. Governing Law

These Terms shall be governed by and construed under the laws of the State of Arizona, without regard to conflict of law principles.

Any dispute arising from or relating to the Program shall be resolved exclusively in the state or federal courts located in Maricopa County, Arizona. Both parties consent to the jurisdiction of those courts.

Before initiating any formal legal proceeding, the parties agree to attempt good-faith informal resolution by providing written notice to WMP at wmpcreator@wmpeyewear.com and allowing thirty (30) days to resolve the matter. This does not limit WMP's right to seek injunctive or emergency relief at any time without prior notice.

18. Modifications

WMP may update these Terms at any time. Continued participation in the Program after any modification constitutes acceptance of the updated Terms.

19. Entire Agreement

These Terms constitute the entire agreement between WMP and the Creator regarding participation in the Program and supersede all prior communications and agreements relating to the Program.

BY APPLYING TO OR PARTICIPATING IN THE WMP EYEWEAR CREATOR PROGRAM, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO THESE TERMS.
